Client Terms & Conditions

Scope of Services

Sivantra provides consulting, advisory, expert-network, and related professional services. Specific services, deliverables, timelines, and commercial terms will be agreed separately in writing for each engagement (“Project”).

Client Responsibilities

The Client agrees to :

  • Provide accurate and complete information required for Project execution
  • Use services solely for lawful and legitimate business purposes
  • Comply with all applicable laws, regulations, and internal compliance policies
  • Not solicit, engage, or contract directly with Experts introduced by Sivantra outside agreed terms

Use of Expert Information

Expert profiles, insights, and communications provided through Sivantra are confidential and for internal use only. Clients may not record, distribute, or reuse Expert information beyond the agreed Project scope.

Fees and Payment

Fees, billing structure, and payment timelines will be specified in the applicable Project agreement or invoice. Late payments may result in suspension of services.

Confidentiality

Both parties agree to maintain the confidentiality of all non-public, proprietary, or sensitive information exchanged during the engagement. Confidentiality obligations survive termination of the Project.

Compliance and Legal Use

Clients represent that their use of Sivantra’s services complies with applicable laws, including competition, securities, insider trading, and data protection regulations. Clients are solely responsible for ensuring internal compliance approvals.

Intellectual Property

Unless otherwise agreed, all deliverables created by Sivantra specifically for a Client shall be owned by the Client upon full payment. Sivantra retains rights to pre-existing materials, methodologies, and know-how.

Limitation of Liability

To the maximum extent permitted by law, Sivantra shall not be liable for indirect, incidental, or consequential damages. Sivantra’s total liability shall not exceed the fees paid by the Client for the relevant Project.

Termination

Either party may terminate an engagement in accordance with the applicable Project agreement. Upon termination, all outstanding fees become immediately payable.

Governing Law and Jurisdiction

These Client Terms are governed by the laws of India. Courts located in Pune, Maharashtra,
shall have exclusive jurisdiction.
